2. Marketplace only - not a broker or adviser

Buy a Business Ltd is a marketplace, not a broker.

Information, search results, recommendations, listing summaries, guides, articles, emails, chatbot responses and other content on this website are for general guidance only.

They do not constitute legal, tax, financial, investment, valuation, accounting, commercial, regulated, professional or brokerage advice.

We do not:

  • act as a broker, business transfer agent, estate agent, financial adviser, investment adviser, solicitor, accountant, tax adviser or valuation expert;
  • negotiate deal terms between buyers and sellers;
  • manually introduce specific buyers to specific sellers as an advisory or brokerage service;
  • recommend that any user buys, sells, invests in, or proceeds with any particular business;
  • provide valuations, asking price guidance, affordability assessments, return estimates, investment opinions or "best buy" advice;
  • handle deposits, escrow, completion funds, client money, sale proceeds or transaction funds;
  • receive commission, success fees, referral fees or a percentage of completed sales.

Users are responsible for taking their own independent legal, financial, tax, accounting, valuation, commercial and due diligence advice before entering into any transaction.

3. What the platform does

4. Eligibility to use the website

You must be at least 18 years old to create an account, submit an enquiry, purchase a subscription, list a business, or use any account-based feature.

By using the website, you confirm that:

  • you are at least 18 years old;
  • the information you provide is accurate and not misleading;
  • you will use the platform lawfully;
  • you will not use the platform for fraud, spam, unlawful promotions, misleading listings, abusive behaviour or unauthorised data collection.

We may refuse access, suspend accounts, remove listings, or restrict features if we believe these Terms have been breached.

5. Account types

The platform may support different user types, including buyers, sellers, brokers and administrators.

You must select the correct account type when registering or using the platform.

If you use the platform as a seller, broker, business owner, professional adviser, company, sole trader, partnership or other business user, you confirm that you are acting for business purposes.

If you use the platform as an individual outside your trade, business, craft or profession, you may have additional consumer rights under UK consumer law.

6. Accounts and security

You are responsible for:

  • keeping your login details confidential;
  • using accurate account information;
  • keeping your account details up to date;
  • making sure only authorised people access your account;
  • notifying us promptly if you believe your account has been accessed without permission.

You must not:

  • share your account in a way that allows misuse;
  • impersonate another person or business;
  • create accounts using false details;
  • attempt to access another user's account;
  • attempt to interfere with the security or operation of the website.

We may suspend or close accounts where we reasonably believe there is fraud, misuse, security risk, unlawful activity, or breach of these Terms.

7. Listings and seller responsibility

Sellers and brokers are solely responsible for the accuracy, legality and completeness of their listings.

By submitting a listing, you confirm that:

  • you are the owner of the business, or you have authority from the owner to advertise it;
  • the listing is accurate, complete and not misleading;
  • all financial figures are provided by you and are not independently verified by Buy a Business Ltd;
  • you will update the listing if any material information changes;
  • you have the right to use any text, images, branding or documents you upload;
  • your listing does not infringe another person's intellectual property rights;
  • your listing does not contain unlawful, fraudulent, discriminatory, abusive or prohibited content.

We may review, edit, reject, remove, suspend, archive or request changes to a listing where we believe this is necessary for legal, safety, quality, compliance, fraud-prevention or marketplace-integrity reasons.

Publication of a listing does not mean we endorse, verify, recommend or guarantee the business, seller, broker, valuation, asking price, financial figures or opportunity.

8. Financial figures and business information

All financial figures, asking prices, turnover figures, profit figures, asset values, stock values, lease details, franchise details, employee information, trading history and other business information are supplied by the seller or broker.

Buy a Business Ltd does not independently verify this information.

Buyers must carry out their own due diligence and obtain independent professional advice before relying on any listing information or entering into discussions, negotiations or contracts.

9. Buyer enquiries

Buyers may submit enquiries about listed businesses through the platform.

When you submit an enquiry, you agree that your enquiry details may be shared with the relevant seller or broker so they can respond to that specific enquiry.

Buyer enquiry data may include your name, email address, enquiry message, and any phone number or other information you choose to provide.

Sellers and brokers must only use buyer enquiry data to respond to the specific enquiry made through the platform. They must not use buyer enquiry data for unrelated marketing, spam, resale, data harvesting, or unrelated commercial purposes unless they have obtained separate lawful permission from the buyer.

10. No guarantee of sale, buyer interest or outcome

We do not guarantee that:

  • a listing will receive enquiries;
  • a buyer will proceed;
  • a seller will respond;
  • a business will sell;
  • a transaction will complete;
  • any particular price will be achieved;
  • any listing will rank in a particular position;
  • any social media campaign or visibility feature will generate a specific number of leads, views, clicks, enquiries or sales.

Any visibility, promotional or campaign feature is intended to improve presentation or exposure only. It is not a guarantee of commercial result.

11. Search results and recommendations

Search results, filters, suggested listings, recommendation cards and AI-assisted outputs are provided for general guidance only.

They may be based on user-selected filters, listing attributes, category, location, recency, completeness or other marketplace factors.

They are not based on a personalised assessment of your finances, investment objectives, risk appetite, tax position, legal position or suitability.

Nothing on the platform should be treated as a recommendation to buy, sell, invest in, value, finance or proceed with any business.

12. AI-assisted features

The platform may use AI-assisted features to help with listing summaries, descriptions, search support, guidance content, chatbot responses or user assistance.

AI-assisted content may be inaccurate, incomplete or out of date. It is provided for general guidance only.

AI must not be relied on as legal, tax, financial, investment, valuation, accounting, commercial, regulated or professional advice.

Sellers remain responsible for checking and approving any AI-assisted listing text before publication.

Buyers remain responsible for independent due diligence and professional advice.

13. Prohibited listings and prohibited content

You must not submit, promote or use the platform for:

  • false, misleading or fraudulent listings;
  • businesses you do not own or have authority to market;
  • illegal goods or services;
  • adult services;
  • weapons or prohibited items;
  • pyramid schemes;
  • unlawful crypto, token, investment or securities schemes;
  • unregulated financial promotions;
  • fundraising, passive investment opportunities, guaranteed returns, dividends or investment-style promotions unless legally authorised;
  • content that infringes intellectual property rights;
  • discriminatory, abusive, threatening, defamatory or unlawful content;
  • spam, scraping, phishing, malware or attempts to obtain passwords, payment credentials or sensitive data.

We may remove or refuse any listing or content that we believe breaches these Terms or creates legal, regulatory, safety or reputational risk.

14. Financial promotion and investment restrictions

The platform is intended for advertising businesses, business assets, goodwill, franchises, leasehold interests, freehold interests, or lawful business-sale opportunities.

The platform is not intended for promoting investments, securities, public fundraising, fractional ownership, passive investor opportunities, guaranteed returns, dividends or regulated financial products.

Sellers must not use investment-style language such as guaranteed return, passive income investment, dividend opportunity, equity investment, investor raise, regulated investment, or similar wording unless they have obtained appropriate legal and regulatory approval.

Where a listing involves shares, securities or anything that may fall within financial promotion law, the seller is responsible for ensuring the listing is lawful before submission.

We may require additional information, delay publication, request legal evidence, or refuse any listing that appears to raise financial promotion concerns.

15. Paid plans and subscriptions

The current paid subscription plans are:

Standard

£9.99 per month

This plan provides access to standard paid marketplace listing features as described on the pricing or checkout page at the time of purchase.

Social Media Campaigns

£12.99 per month

This plan provides access to social media campaign or visibility-related features as described on the pricing or checkout page at the time of purchase.

No other paid plans are currently offered unless shown on the live pricing or checkout page.

Prices are displayed before checkout. The features included in each plan may be updated from time to time.

Unless stated otherwise at checkout, subscriptions renew monthly until cancelled.

16. VAT and taxes

Prices are shown in pounds sterling.

Buy a Business Ltd is not currently stated as VAT registered on this page. If VAT becomes chargeable, pricing, invoices and receipts may be updated accordingly.

Users are responsible for their own tax position and should seek independent tax advice where required.

17. Payment

Payments are processed through a third-party payment provider.

Buy a Business Ltd does not store full card numbers.

You must ensure that your payment details are accurate and that you are authorised to use the payment method provided.

If a payment fails, we may notify you and give you a short opportunity to update your payment method. If payment is not resolved, we may suspend or downgrade the relevant subscription and may pause associated listing features.

18. Auto-renewal

Monthly subscriptions automatically renew each month unless cancelled before the renewal date.

By purchasing a subscription, you authorise recurring monthly payments for the selected plan until the subscription is cancelled.

Renewal information will be shown during checkout and/or in your account area.

19. Cancelling a subscription

You may cancel your subscription through your account dashboard where available.

Cancellation takes effect at the end of the current billing period unless stated otherwise.

You will normally continue to have access to paid features until the end of the paid period. After that, paid features may stop, and listings or campaign features linked to the subscription may be paused, downgraded or removed.

20. Consumer cancellation rights

If you are a consumer, you may have a 14-day cooling-off right under the Consumer Contracts Regulations 2013.

Where you request immediate access to digital marketplace services during the 14-day cooling-off period, you may be asked to confirm that you want the service to begin immediately and that you understand this may affect your cancellation and refund rights.

Where the law requires a refund, we will provide one.

Where a paid digital service has already started with your express consent and acknowledgement, refunds may be reduced or unavailable to the extent permitted by law.

This does not affect your statutory rights.

21. Refunds

Refunds are considered in accordance with these Terms and applicable UK law.

For consumers, statutory cancellation and digital service rights apply where relevant.

For business users, subscription fees are generally non-refundable except where:

  • a duplicate payment has been taken;
  • a platform technical failure prevents the purchased listing feature from being made available;
  • we are legally required to issue a refund;
  • we decide, at our discretion, to issue a goodwill refund.

No refund will be due where a listing, account or subscription is suspended or removed because of fraud, misleading content, unlawful content, non-payment, financial promotion concerns, abuse, or breach of these Terms.

22. Social Media Campaigns plan

The Social Media Campaigns plan is a visibility-related service.

Unless expressly stated otherwise in writing, this plan does not guarantee:

  • social media reach;
  • impressions;
  • clicks;
  • enquiries;
  • buyer leads;
  • followers;
  • engagement;
  • ranking position;
  • sale of a business;
  • completion of any transaction.

We may refuse to promote content that we believe is inaccurate, misleading, unlawful, poor quality, unsuitable, high risk, or inconsistent with platform standards.

23. Reviews and testimonials

Reviews and testimonials are not currently offered as a public platform feature unless shown on the website.

If reviews, testimonials or ratings are introduced in future, users must not submit fake, misleading, incentivised, manipulated or unlawful reviews.

We may remove reviews or testimonials that appear false, misleading, abusive, irrelevant, or unlawful.

24. Intellectual property

All website design, branding, layout, software, database structure, written content, graphics and other platform materials belong to Buy a Business Ltd or its licensors unless stated otherwise.

You must not copy, scrape, reproduce, modify, distribute, reverse engineer or commercially exploit any part of the platform without permission.

When you submit listing content, images, text or other material, you grant Buy a Business Ltd a non-exclusive, worldwide, royalty-free licence to use, display, edit, format, reproduce and promote that content for the purpose of operating, displaying and marketing the listing and the platform.

You confirm that you have the right to grant this licence.

25. Acceptable use

You must use the platform lawfully and respectfully.

You must not:

  • use the platform for fraud, spam, phishing or scams;
  • submit false or misleading information;
  • harass, threaten, abuse or discriminate against other users;
  • scrape, crawl, harvest or extract platform data without permission;
  • interfere with the operation of the website;
  • upload malware or harmful code;
  • attempt to bypass access controls;
  • misuse enquiries or messages;
  • request passwords, payment credentials or unnecessary sensitive information from other users;
  • use buyer, seller or broker data for unrelated marketing or resale.

We may restrict, suspend or terminate access where we reasonably believe these rules have been breached.

26. Moderation, suspension and removal

We may review listings, accounts, enquiries, reports and platform activity for compliance, fraud prevention, abuse handling, legal compliance, payment issues, marketplace quality and user protection.

We may remove a listing, pause a listing, suspend an account, restrict access, cancel a subscription feature, or refuse publication where we reasonably believe there is:

  • false or misleading information;
  • financial promotion risk;
  • prohibited content;
  • intellectual property infringement;
  • fraud risk;
  • unpaid subscription fees;
  • user safety risk;
  • regulatory or legal risk;
  • breach of these Terms;
  • misuse of the platform.

For serious issues, we may act immediately without prior notice.

Where appropriate, we may give you an opportunity to correct the issue.

27. Reporting listings or users

Users may report listings, accounts, messages or content that they believe are false, misleading, unlawful, abusive or in breach of these Terms.

29. Privacy and data protection

When a buyer submits an enquiry, relevant enquiry details may be shared with the seller or broker so they can respond.

Sellers and brokers must only use buyer enquiry data for the specific enquiry and must handle it lawfully.

We use cookies and similar technologies as explained in our Cookie Policy.

Non-essential cookies should only be used where legally valid consent has been obtained.

31. Third-party websites and services

Pricing changes will not normally affect the current paid billing period already purchased, unless required by law or clearly stated.

Continued use of the platform after changes take effect means you accept the updated service, unless you cancel or stop using the service.

34. Changes to these Terms

We may update these Terms at any time.

  • changes to pricing or subscriptions;
  • changes to law or regulation;
  • new features;
  • security, fraud prevention or misuse concerns;

  • the platform will always be available or error-free.

Nothing in these Terms excludes liability where it would be unlawful to do so.

36. Limitation of liability

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • breach of statutory rights where such rights cannot lawfully be limited;
  • any liability that cannot be excluded under applicable law.

Subject to the above, Buy a Business Ltd will not be liable for:

  • loss of profit;
  • loss of revenue;
  • loss of business;
  • loss of opportunity;
  • loss of goodwill;
  • loss arising from reliance on listing information;
  • loss arising from a failed transaction;
  • loss arising from buyer, seller or broker conduct;
  • indirect or consequential loss;
  • loss caused by inaccurate, incomplete or misleading user-submitted content.

For business users, our total liability in connection with the platform, a subscription, a listing, or these Terms will not exceed the total fees paid by that user to Buy a Business Ltd in the 12 months before the event giving rise to the claim.

For consumers, this limitation does not affect your statutory rights.

37. User responsibility for transactions

Any sale, purchase, negotiation, due diligence process, heads of terms, confidentiality agreement, asset sale, share sale, franchise transfer, lease assignment, completion, payment or related transaction is strictly between the relevant buyer, seller, broker and their advisers.

Buy a Business Ltd is not a party to those transactions.

Users are responsible for obtaining their own legal, financial, tax, accounting, valuation, property, employment, franchise, regulatory and commercial advice.

We aim to acknowledge standard complaints within 2 working days and aim to resolve standard complaints within 10 working days, although complex matters may take longer.

39. Consumer rights and ADR

If you are a consumer, you may have statutory rights under UK consumer law.

Nothing in these Terms affects rights that cannot lawfully be excluded or limited.

Where a consumer dispute cannot be resolved internally, we may provide details of an appropriate Alternative Dispute Resolution provider where applicable.

40. Governing law and courts

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory consumer rights that allow a consumer to bring proceedings in another UK jurisdiction where applicable.
